Atlantic Global Asset Management equity investment fundhas its roots in the financial holding SFG Group, operating since 2009.

Foundation Atlantic Global Asset Management (abbreviated A.G.A.M.) conducts the business of buying and selling debt instruments, including shares of companies, conducting initial public offering of its securities on the stock exchange (IPO), as well as the placement of foreign securities, refinance companies and financial factoring.

Equity investment fund is registered in the homeland A.G.A.M. president Antonino Rubalo in the Republic of Cape Verde, which is located in the central part of the Atlantic Ocean, west of Senegal.

The main office of the Fund is located also in the same place in Cape Verde, on the same floor with the famous world auditing company PricewaterhouseCoopers (PwC).

Antonino Vieira Robalo - is a president of the Atlantic Global Asset Management C.A. investment fund, as well as a full-time staff adviser of the World Bank and a number of international projects in Luxembourg, France, Japan and the United States. He has two higher educations and more than 30 years of work experience on managerial positions in major public and private enterprises.

Andrei Andreevich Abakoumov – is a Chief Executive Officer and Manager of the Atlantic Global Asset Management C.A. investment fund. He is a mathematician with higher education. He is an expert with special education in financial advising, trading and investment portfolios and funds management. He has a long-standing work experience over 20 years in the financial and banking sector in managerial positions. Currently, and for over than 16 years he has been residing in Cape Verde.


Slide 4. The license for financial activities

A.G.A.M. equity investment fund has enhanced financial license to conduct a number of basic financial activities. This license is issued by the regulator of Cape Verde (Commercial and Automobile Conservatory of Registration of Praia) and is renewed annually.

The license can be checked online on the website of the state Chamber of commercial Cape Verde registers. This is the official website, all issued licenses and permits are published there without fail. If necessary, everyone can see for oneself the license and verify its authenticity.

With this license, the company can operate not only with euros, but also with dollars, that is uniquely beneficial for working with the United States, Brazil, China and India.

Also important document is the Declaration De Nif - an identification number on the account statement of the company in the financial institutions. This is actually a tax number.

According to the requirements of the legislation of Cape Verde, Foundation Atlantic Global Asset Management S.A. like all large investment companies extends annual inspection. The whole financial statements of the company is checked by the relevant government authorities.

In addition to inspections of financial services, company has its own inspection auditor. The auditor conducts a full accounting and control of all the movements of all accounts of the company, as well as monitoring the economic activities and accounting organization. The auditor shall issue a special letter, which is transmitted to the financial authorities, and reports that the auditor is responsible for monitoring of the economic and financial activity in A.G.A.M. Fund to financial authorities.

Asset Management in the company is made by a team of qualified brokers, who are using for many years a reliable, effective and time-tested investment strategies, a wide range of financial instruments and established strict risk management procedures.


Slide 8. What brings the fund money A.G.A.M.


And what brings the fund money with all the financial licenses. General Fund revenues come from four directions:

1.      Placement of foreign securities.

2.      Refinancing of companies that lost their capital for any reasons. Analysts of equity investment fund A.G.A.M. searching for those companies at the market, which are well-functioning, but do not have the required amount of money for their further functioning and growth. We analyze the economic situation and are looking for new sources of funding. Refinancing is the main form of income for investment banks and funds all around the world.

3.      Financial factoring. Having a trading contract with a real physical product and taking a pledge of shipping documents A.G.A.M. fund guarantees, speaking a third party, the commission payments. In this case the fund is a financial intermediary, whch earnes a good profit without risk, because without documents, that the fund pledged, goods are not released. The money will not go, but remain on the fund accounts, and for ensuring we get paid good money.

4.      Organization and carrying out of IPO. Equity investment fund Atlantic Global Asset Management buys shares of the company, before they get to the IPO, as well as investing in the purchase of promising companies, followed by the creation and output of their own shares in the IPO. The company earns on the difference between the stock price, which is paid before the IPO, and the price, which is set at the time of the start of trading.

 


Slide 9. Buying of the company TACV Cabo Verde Airlines

 

In the middle of 2016, Fund Atlantic Global Asset Management bought debt securities of small airline TACV Cabo Verde Airlines.

TACV Cabo Verde Airlines is the only airline which has a fully licensed Class 1 in Cape Verde. The company has a monopoly on all domestic traffic in the region and around the world. Airline tickets are sold at 100% and usually a week in advance. The company also carries out international air traffic passenger and cargo airlines.

 At the time of the transaction the company was in a critical condition - almost on the verge of bankruptcy: carried out several dozen flights around the world and had a modest fleet. In addition, most of the park was laid in various banks. As a result, the fund A.G.A.M. bought current airline aircraft with the crew, the chief pilots and the entire infrastructure.

After the final price was established by agreement with the Government of Cape Verde, a deep audit was held and complete restructuring of the company.

Then began the preparing for entering the IPO (Initial Public Offering). The most famous investment banks such, as Goldman Sachs and Morgan Stanley were involved.

Negotiations were held between the management of the company and investment bankers, in the course of which the share price, offered for purchase, was determined, their type and the total amount of funds, that are to be attracted. Then it began active work on the preparation of the company for the initial public offering on the stock exchange.

After the IPO, the company's value will increase in several times. Then a sell  is possible on some of portfolio investor - such as Chinese. As a result, the profitability of the transaction according the estimates of company's experts will be 300-500%. In this case the deal itself will take place in 7-8 months!

Now the company is fully prepared for entering to IPO: have all the necessary documents, all the permissions are obtained, Road Show is held.

The investors, who have on the account of equity investment fund sum of more than one million euros and want to invest large amounts of 5 - 7 million euros and more, can meet individually with managers of the fund A.G.A.M. at Cape Verde. To the meeting the customers fly with their own analysts and accountants at the company's office for Road Show and study of documentation.

After the client’s signing of a memorandum of confidentiality, the client is allowed to explore the entire financial documentation. After that, with such clients are conducted individual investment contracts.

A formal written agreement is concluded with each client. Weekly more than 4,000 new customers are registered, and to each new client the company sends his/her contract  to his/her address to the country in which he lives, at the expense of the company. Delivery of the contract takes from 2 weeks till 2 months, depending on the country.

To go to the 3rd level - of 25 000 euro, and so on up to level 11 "Super Director" with sales of 100 million euros.

Let s suppose, after working for 3-4 months, you have become the Gold agent of the 4th level with a percentage of 10.5% of the agent returns. You sold your client portfolio investor "Red", worth 7290 euro. According to your 4th level, and your rate of return of 10.5%, your earned income will be 765 euro. The more you have the sales volume and the higher your level, the more you earn.

Let us consider, how much you will earn from your structure. For the calculation of the remuneration to the entire structure, it is necessary to calculate income from each level separately, and then combine all. Let us suppose, after working for a month as Golden agent of the 4th level, you and your structure, consisting of two silver, one bronze and one Beginner made sales of 94 000 euro. Your personal volume amounted is 9000 euro, with which you have earned 945 euros.

A) Now we calculate the income from two silver agents of the 3rd level. Your Silver agents made sales of 70 000 euro. Subtract from 70 000 euro difference between the percentage of the yield of the 4th and the 3rd levels of 1.5%. Income from Silver agents is amounted to 1 050 euro.

B) Let us calculate the income from the Bronze agent of the 2nd level. Your Bronze agent made sales of 12 000 euro. Subtract from 12 000 euro difference between the percentage of the yield of the 4th and the 2nd levels, which is equal to 3.5%. Income from the Bronze agent amounted is 420 euro.

C) Let us calculate the income from the beginner of the 1st level. The beginner made sales of 3000 euro. Subtract from 3 000 euro difference between the percentage of the yield of the 4th and the 1st level, which is equal to 5.5%. Income from the work of the beginner is amounted to 165 euro.

D) Now let us add up all the income you and your structure received. As a result, in one month working as the Gold agent of the 4th level your income is amounted to 2 580 euro.


Slide 25 - 26. Loyalty programme

Let me introduce you the second type of income - bonuses. Starting with sales of 25 000 euro on the 3rd level "Silver Agent", the agents of the holding are beginning to receive additional cash bonuses. Loyalty program is not linked to the level and is totally dependent on sales of the agent and his/her structure. Agent having achieved sales, both personally and jointly with the structure of 25 000 euro, receives bonus reward of 1000 QP. With sales of 50 000 euro - a bonus 2000 QP, 100,000 euro - bonus 5000 QP and so on to a volume of 100 million euro with a cash bonus to one million QP

Having reached the last level 11 - "Super Director" and received a one-time bonus of 1 million QP, Super director begins to receive an additional bonus of $ 250,000 QP, for each new "Super director" of the 11th level in the structure to a depth of the 5th line.
